'Looking down their nose at you': GameStop frenzy showed a fresh contempt for hedge funds. Why do Americans hate them? Updated 2:25 pm EST Feb. 11, 2021 In the middle of a pandemic and slow economic recovery, Americans think they’ve identified their Wall Street villain: hedge funds. Their nemesis is summed up in a few searing images: a hedge fund manager who makes millions betting that the subprime mortgage market will collapse, without warning them. Or another relaxing on a yacht as the economy tanks. Years of anger culminated late last month when a group of angry small-time investors on Reddit took on a few of those firms in the GameStop “short squeeze” frenzy. That spurred millions of others to join in, as their effort to drive up the price of a stock perceived as undervalued soon shifted to a campaign to “Stick it to Wall Street." They used the "squeeze" to rally the share price and make profits for themselves while forcing the hedge funds who had bet it would fall to buy it to prevent greater losses. What are these funds, and where does this resentment come from? Hedge funds, known for using higher risk investing strategies, are private investment vehicles that typically wealthy individuals use to get higher returns. They control more than $3 trillion in assets globally. They've angered many Americans by gutting companies such as former American retail icon Sears, causing layoffs and engaging in questionable financial practices that contributed to the near collapse of the U.S. financial system in 2008, experts say. 'This is life changing': Meet the Redditors behind the GameStop saga “Most people see it as guys in suits looking down their nose at you,” says Adam Bixler, 28, an active user on the WallStreetBets Reddit forum, whose members led the charge against the funds. “How I feel is probably how a lot of people feel when thinking about the financial crisis and the massive wealth inequality that exists in this country.” Radio Shack, Toys ‘R’ Us and Payless ShoeSource, along with mall-based retailers such as the Limited, Wet Seal, Claire’s and Aeropostale faced further financial woes after hedge funds and private equity firms loaded them up with debt. Where to get vaccines: CVS, Walgreens to begin delivering COVID-19 vaccines on Friday “The idea that you can crack open a hedge fund like a piñata and redistribute all this money to people in the form of a short squeeze is very appealing,” says Bixler, who lives in Boonton, New Jersey, and works as a product manager for a company that makes software and tools for the advertising industry. “These are the stimulus checks that everyone wanted.” Proponents of hedge funds say the firms identify and support distressed industries such as retailers and newspapers. These funds are owned by groups of big investors pooling the savings of millions of unionized workers, such as teachers and firefighters, who count on hedge funds to grow and protect their nest eggs. Even so, hedge funds are viewed as vultures by many Americans. Kaysha Apodaca, an emergency room nurse in Dallas, was furious last summer when she lost thousands of dollars after CytoDyn, a biotechnology company she owns, was hammered following a negative report from a “short selling” research firm, about one of CytroDyn's drugs in clinical trials. The post with the research was later pulled. This year, Apodaca thought she missed the opportunity to jump in and buy GameStop or AMC, so she supported the Reddit campaign against hedge funds by investing a few thousand dollars into shares of Nokia, another beaten-down stock discussed on the forum. “I hate hedge funds. Even if this goes to zero, I’m OK with it. I’m not selling, just to prove a point,” Apodaca said. “Hedge funds have unfairly made money off retail investors for years. Now they’re getting a taste of their own medicine.” For Iris Findlay of Orlando, Florida, joining the movement was a way for Americans to show their strength in numbers. “I’m definitely not OK that there are so many billionaires hoarding their wealth while people are struggling, especially during the pandemic,” said Findlay, 31, who is disabled and retired from the Air Force. A large portion of hedge-fund assets are owned by institutional investors, such as pension funds and endowments. Hedge fund research has been critical in exposing an array of accounting fraud scandals in recent decades, including the one involving energy firm Enron. “Hedge funds do play a very important role in the financial ecosystem, but at the same time, they have a PR problem,” says Andrew Lo, a finance professor at MIT Sloan School of Management. They are an easy target, experts say, because some high-profile managers' massive wealth offends Americans who struggle to make ends meet. Michael Burry, founder of Scion Asset Management, is an investor whose billion-dollar bet against the housing market was chronicled in Michael Lewis' book "The Big Short." He personally collected $100 million and made $750 million in profits for his investors. These managers “are seen as multibillionaires that really don’t care about the public good and are focused on enriching themselves and their investors,” Lo says. “But I think that’s a caricature, especially given that hedge funds now have become much more institutionalized as pension funds and endowments are investing in these financial vehicles.” Who do Americans blame? When asked who was the “most in the wrong” in the trading mania that set off one of the biggest short squeezes in history, nearly half of Americans polled said it was either hedge funds (27%) or online brokerage Robinhood (22%), according to a Harris Poll survey conducted Jan 29-31 that was given to USA TODAY exclusively. Just 8% said it was the Reddit retail investors on the WallStreetBets forum, who angered hedge funds that had bet GameStop's stock would remain low. The small-time investors used the forum to help drive up the prices for shares such as GameStop, theater chain AMC Entertainment and several other companies. Many respondents were angry that hedge funds were shorting stocks – betting that the share prices would fall – of companies that average people use and love, according to John Gerzema, CEO of the Harris Poll. “This wasn’t just an attack on a few weak companies,” Gerzema says. “These are companies that are a part of middle-class America and ordinary people’s lives.” How did these funds begin, and how did they grow into such big villains in the minds of so many? What are hedge funds? Hedge funds are financial partnerships between a professional fund manager and investors who pool their money into the fund to earn active returns. Hedge funds can be traced back to the 1940s when Alfred Winslow Jones, an investor, sociologist and former Fortune magazine writer, created a "hedge" by “shorting" stocks he thought were poised to fall. The "hedge" was meant to reduce risk and protect against market fluctuations. It was unconventional at the time but remains the basic strategy for these funds. Hedge fund strategies today are more diverse and run the gamut of extremely risky to fairly conservative. There's another theory about the origin of hedge funds, and this one is connected to a more beloved figure. Some people credit the founding of hedge funds to Benjamin Graham, a mentor to Warren Buffett and the author of "The Intelligent Investor" – the bible of everyone who loves Buffett's method of investing. Buffett, one of the world's richest people and a folksy inspiration to small-time investors, argued that Graham managed a fund with a "hedge"-like strategy in the 1920s. Hedge funds have gained in popularity over the past two decades after many of them delivered hefty outsize returns in either up or down markets, an attractive selling point for savvy investors. Some of the world's largest hedge funds include Bridgewater Associates, founded by billionaire Ray Dalio; Renaissance Technologies, founded by billionaire Jim Simons; and Pershing Square, run by Wall Street billionaire Bill Ackman. They have historically charged much higher fees than mutual funds, which are professionally managed funds that invest in stocks, bonds or money market instruments. Since hedge fund managers are nearly always paid a performance fee, or percentage of the gains they create, they have a strong incentive to make money for their investors. While many Americans lost money during the depths of the financial crisis, some big-time investors did astonishingly well, including those who predicted and profited from the buildup and collapse of the housing and credit bubble in 2007 and 2008. For those Americans who had their livelihoods upended in the financial crisis, it left a bad taste in their mouths, experts say. “They’re associated with ruthless financial institutions that are out there to make money and not care where it’s coming from,” says Itay Goldstein, a professor of finance and economics at the University of Pennsylvania's Wharton School of Business. A big winner from that time is billionaire investor John Paulson, a hedge fund manager who netted $20 billion in profits when he bet against subprime mortgages at the peak of the credit bubble in 2007. In general, short sellers keep stock prices in check by voicing their opinion on where they believe a stock is valued, says Dennis Dick, head of markets structure and a proprietary trader at Bright Trading in Las Vegas. “I’m concerned with this public image that ‘evil short sellers are betting against America’ and that it’s ‘un-American to short stocks,’” Dick says. “It’s not like every short seller is making bets against America. Americans who don’t invest directly in hedge funds still receive a benefit from the returns that hedge funds generate, according to Daniel Smith, a partner at ACA Compliance Group, an advisory firm for financial services. Of the $4.5 trillion in state and local pension plans, about 6.9% is allocated to hedge funds, according to data published by the Center for Retirement Research at Boston College, the Center for State and Local Government Excellence and the National Association of State Retirement Administrators. ”Hedge funds help secure the retirement of more than 26 million teachers, firefighters and other public employees by helping pensions navigate all market conditions and meet long-term financial obligations,” says Bryan Corbett, president and CEO at Managed Funds Association, a hedge fund lobby group. GameStop and questions of power The rollercoaster involving GameStop, Reddit and Robinhood has prompted Capitol Hill’s harshest criticisms of Wall Street in years. Several prominent lawmakers on Capitol Hill have warned of such moments, cautioning that companies and hedge funds have too much power. One of these lawmakers, Sen. Elizabeth Warren, D-Mass., who is well known for her disapproval of Wall Street, called on the Securities and Exchange Commission (SEC) to address the dramatic swings surrounding these companies. Warren wrote in a letter that it is “long beyond time for the SEC to act” and asked it to investigate the rallies in GameStop, AMC Entertainment and others that “have seen huge shifts in their share price driven by similar internet reading schemes.” "These wild fluctuations are just the latest indication that many private equity firms, hedge funds, and other investors, big and small, are treating the stock market like a casino, giving little consideration to the companies, communities, workers, and consumers that may be affected by these risky bets," she wrote. The House Financial Services Committee will hold a virtual hearing Feb. 18 regarding “recent market volatility” involving GameStop and the other companies. According to Politico, the CEO of Robinhood, Vlad Tenev, is likely to testify. GameStop-Robinhood stock revolution: Not a secure retirement plan Does the movement have legs? Questions have been raised as to whether the populist movement threatening to disrupt the financial system will be sustained. It’s too early to tell, experts say. “It has the potential to gather momentum. It depends on whether we see other related episodes in the next few weeks that show the same kind of patterns in the financial markets," Goldstein says. "We live in a period of so many unusual things going on that it will probably take the edge off this event." Hedge funds such as Melvin Capital Management took the brunt of losses from soaring stock prices of GameStop and other heavily shorted stocks. Others made a ton of money on the rally, including Senvest Management, which had a profit of nearly $700 million, The Wall Street Journal reported. “Is it sticking it to Wall Street? Only temporarily, but in the long term probably not,” Goldstein says. “At the end of the day, the sophisticated financial institutions will find ways to recuperate and make money out of this.” Lo of MIT agrees. “This incident highlights the growing dissatisfaction, distrust and dislocation that many people feel with respect to the financial sector,” Lo says. “It suggests that people are sick and tired of being disenfranchised and being pushed around by large financial institutions.” Contributing: Savannah Behrmann

These acquisitions, together with meaningful organic growth, increased NYX’s revenue from $24 million in 2014 to $184 million annualized in 2017. During that time, Mr. Davey helped build NYX to have over 200 customers in the global gaming industry and a team of 1,000 employees. Mr. Davey’s success at NYX ultimately led to its sale to Scientific Games for $631 million in 2018.
Mr. Davey joined Next Gen Gaming, the predecessor to NYX, in 2000 as the Vice President of Technology, was appointed as Executive Director in 2003 and named Chief Executive Officer in 2005. Prior to that, he was the Senior Consultant for Access Systems, a company that specializes in the provision of back-end software for licensed online casinos. Prior to joining Access, Mr. Davey worked for the Northern Territory Government specializing in matters pertaining to the internet and e-commerce along with roles in the Department of Racing and Gaming. Mr. Davey received a Bachelor of Electrical & Electronic Engineering from Northern Territory University, Australia (also known as Charles Darwin University).
Robin Chhabra — President
Mr. Chhabra has been at the forefront of corporate acquisition activity within the digital gaming landscape for over a decade. His prior experience includes leading corporate strategy, M&A, and business development at two of the global leaders in the digital gaming industry, The Stars Group (“TSG”) and William Hill, and a leading supplier, Inspired Gaming Group (Nasdaq: INSE). Mr. Chhabra served on the Group Executive Committees of each of these companies. From 2017 to May 2020, Mr. Chhabra served as Chief Corporate Development Officer at TSG and, from 2019 to August 2020, he also served as the Chief Executive Officer of Fox Bet, a leading U.S. online gaming business which is the product of a landmark partnership between TSG and FOX Sports, a transaction which he led. During that period, Mr. Chhabra led several transactions which transformed TSG into the largest publicly listed online gambling operator in the world by both revenue and market capitalization and one of the most diversified from a product and geographic perspective with revenues of over $2.5 billion. Mr. Chhabra’s M&A experience is extensive and covers multiple global geographies across the digital gaming value chain and includes the following:
• TSG/Flutter Entertainment Merger: In 2019, Mr. Chhabra led the TSG M&A team that was responsible for TSG’s $12.2 billion merger with Flutter Entertainment (LSE: FLTR). The merger between TSG and Flutter Entertainment is the largest transaction in the digital gaming industry to date. The combination created the largest publicly listed online gaming company with approximately 13 million active customers and leading product offerings, which include sports betting, online casino, fantasy sports and poker. The combined entity includes some of the world’s most iconic digital gaming brands such as Fanduel, Fox Bet, Sky Bet, PaddyPower, Betfair, PokerStars and SportsBet. TSG/Flutter Entertainment is one of the most geographically diverse digital gaming and media companies with leading positions in the United States, United Kingdom, Australia, Ireland, Italy, Spain, Germany and Georgia.
• TSG/Sky Betting and Gaming (“SBG”): In 2018, Mr. Chhabra led the acquisition of SBG from CVC Capital Partners and Sky plc, Europe’s largest media company, in a transaction valued at $4.7 billion. At the time of the acquisition SBG was the largest mobile gambling operator in the United Kingdom and one of the fastest growing of the major operators having doubled its online market share in three years. The acquisition of SBG provided TSG with (a) greater revenue diversification, significantly enhanced expertise and exposure to sports betting just ahead of the judicial overturn of The Professional and Amateur Sports Protection Act of 1992 (PASPA) by the U.S. Supreme Court, (b) a leading position within the United Kingdom, the world’s largest regulated online gaming market, (c) improved products and technology as a result of the addition of SBG’s innovative casino and sports book offerings and a portfolio of popular mobile apps, and (d) expertise in deeply integrating sports betting with leading sports media companies, positioning TSG to create more engaging content, deliver faster growth and decrease customer acquisition costs.
• William Hill (LSE: WMH): At William Hill, from 2010 to 2017, Mr. Chhabra served as Group Director of Strategy and Corporate Development where he led several transactions which contributed to William Hill’s transformation from a land-based gambling operator in the United Kingdom to a leading online-led international business. Mr. Chhabra led William Hill’s entry into the U.S. sports betting and online lottery markets with the acquisition of four businesses, including the simultaneous acquisitions of three U.S. sportsbooks, Cal Neva, American Wagering and Brandywine Bookmaking, in 2011 for an aggregate purchase price of $55 million. These businesses ultimately led William Hill to achieve a leading position in the U.S. sports betting market with a market share of 24% in 2019. Additionally, Mr. Chhabra played a key role in structuring William Hill’s successful joint venture with PlayTech Plc (LSE: PTEC) in 2008. The combined entity created one of the largest online gambling businesses in Europe at the time of its formation and led to William Hill’s buyout of Playtech’s interest for $637 million in 2013. Prior to the transaction, William Hill had struggled in its attempt to establish a strong online gaming platform and a meaningful presence outside the United Kingdom.
Mr. Chhabra has also successfully completed four transactions worth over $1.2 billion in Australia, the world’s second largest regulated online gambling market, and various partnerships in Asia. Additionally, he completed several technology and media related transactions, including William Hill’s investment in NYX, where he worked with Mr. Davey on NYX’s transformational acquisition of OpenBet.
Prior to working in the gaming sector, Mr. Chhabra was an equities analyst and a management consultant. Mr. Chhabra received a Bachelor of Science in Economics from the London School of Economics and Political Science.
Eric Matejevich — Chief Financial Officer
Mr. Matejevich is a seasoned gaming executive with extensive experience in both the online gaming and traditional casino industries. From February to August 2019, he served as Trustee and Interim-Chief Executive Officer of Ocean Casino Resort (“Ocean”) (formerly Revel Casino, which had a construction cost of $2.4 billion) in Atlantic City, where he successfully led the management team through an ownership change and operational turnaround effort. Over the course of seven months, Mr. Matejevich managed to reduce the property’s weekly cash burn of $1.5 million to an annualized cash flow run rate in excess of $20 million.
Prior to Ocean, from 2016 to 2018, Mr. Matejevich served as the Chief Financial Officer of NYX. At NYX, he focused his efforts on integrating the company’s many acquisitions and multiple debt refinancings to simplify its capital structure and provided liquidity for growth initiatives. Additionally, Mr. Matejevich was instrumental to the executive team that sold NYX to Scientific Games for $631 million.
Prior to NYX, from 2004 to 2014, Mr. Matejevich was the Chief Financial Officer of Resorts International Holdings and later, from 2011, also the Chief Operating Officer of the Atlantic Club Casino, a property under the Resorts International Holdings umbrella — a Colony Capital (NYSE: CLNY) entity. As Chief Financial Officer, he provided managerial oversight for all finance functions for a six-property casino company with annual gaming revenue exceeding $1.3 billion, 10,000 gaming positions, 7,000 hotel rooms and over 11,000 staff members during his tenure. Mr. Matejevich led the transition effort to integrate a four-casino, $1.3 billion acquisition from Harrah’s Entertainment and Caesars Entertainment (Nasdaq: CZR). As Chief Operating Officer of Atlantic Club, he lobbied for and was successful in obtaining the first internet gaming legislation passed in the United States. The Atlantic Club was the sole New Jersey casino proponent of the legislation.
Prior to serving in various gaming positions, Mr. Matejevich was a Vice President of High Yield Research for Merrill Lynch, where he managed the corporate bond research effort for the gaming and leisure sectors and marketed high yield and other debt transactions totaling $4.8 billion. Mr. Matejevich received a Bachelor of Science in Economics from The Wharton School and a Bachelor of Arts in International Relations from The College of Arts and Sciences at the University of Pennsylvania.

Morris Bailey — Chairman
Over the past 10 years, Mr. Bailey has been a leader in turning around Atlantic City, as well as being among the first gaming executives to embrace online gaming and sports betting in the United States. In his efforts, Mr. Bailey partnered with two of the largest digital gaming companies in the world, PokerStars, part of the Stars Group, and DraftKings (Nasdaq: DKNG). In 2010, Mr. Bailey bought Resorts Atlantic City (“Resorts”) and initiated a comprehensive renovation which allowed for the property to be rebranded and repositioned. In 2012, Mr. Bailey signed an agreement with Mohegan Sun to manage the day-to-day operations of the casino. In addition to Mohegan Sun’s operational expertise and ability to reduce costs via economies of scale, Resorts gained access to their robust customer database. Soon thereafter, Mr. Bailey and his team focused on bringing online gaming to the property. In 2015, Resorts established a platform to engage in online gaming by partnering with PokerStars, now part of the $24 billion Flutter Entertainment, PLC (LSE: FLTR), to operate an online poker room in Atlantic City. In 2018, Resorts announced deals with DraftKings and SBTech to open a sportsbook on-property and online. For 2020 year-to-date, Resorts has performed in the top quartile in internet gross gaming revenue in New Jersey. Mr. Bailey’s efforts in New Jersey helped set the framework for expansion of online sports and gaming throughout the United States.
In addition to his gaming interests, Mr. Bailey has over 50 years of experience in all facets of real estate development, asset M&A, capital markets and operations and is the founder, Chief Executive Officer and Principal of JEMB Realty, a leading real estate development, investment and management organization. Mr. Bailey has notable investment experience within the energy, finance and telecommunications sectors through investments in the Astoria Energy Plant, Basis Investment Group and Xentris Wireless.
Tony Rodio — Director Nominee
Mr. Rodio has nearly four decades of experience in the gaming industry. Most recently, Mr. Rodio served as the Chief Executive Officer and director of Caesars Entertainment Corporation (“Caesars”) (Nasdaq: CZR), one of the world’s most diversified casino-entertainment providers and the most geographically diverse U.S. casino-entertainment company, from April 2019 until its acquisition by Eldorado Resorts, Inc. in July 2020. Mr. Rodio led Caesars through its $17.3 billion merger with Eldorado Resorts, one of the largest transactions in the gaming industry to date. Additionally, Mr. Rodio was instrumental to Caesars’ expansion into the digital gaming industry and oversaw the implementation of new digital segments such as its Scientific Games powered retail sportsbook solution that now operates in various states throughout the U.S. From October 2018 to May 2019, Mr. Rodio served as Chief Executive Officer of Affinity Gaming. Prior to Affinity Gaming, he served as President, Chief Executive Officer and a director of Tropicana Entertainment, Inc. (“Tropicana”) for over seven years, where he was responsible for the operation of eight casino properties in seven different jurisdictions. During his time at Tropicana, Mr. Rodio oversaw a period of unprecedented growth at the company, improving overall financial results with net revenue that increased more than 50% driven by both operational improvements and expansion across regional markets. Mr. Rodio led major capital projects, including the complete renovation of Tropicana Atlantic City and Tropicana’s move to land-based operations in Evansville, Indiana. Each of these initiatives, among others, generated substantial value for Tropicana. Ultimately, Mr. Rodio’s efforts at Tropicana led to its sale to Eldorado Resorts in 2018 for $1.85 billion. Prior to Tropicana, Mr. Rodio held a succession of executive positions in Atlantic City for casino brands, including Trump Marina Hotel Casino, Harrah’s Entertainment (predecessor to Caesars), the Atlantic City Hilton Casino Resort and Penn National Gaming. He has also served as a director of several professional and charitable organizations, including Atlantic City Alliance, United Way of Atlantic County, the Casino Associations of New Jersey and Indiana, AtlantiCare Charitable Foundation and the Lloyd D. Levenson Institute of Gaming Hospitality & Tourism. Mr. Rodio brings extensive knowledge of and experience in the gaming industry, operational expertise, and a demonstrated ability to effectively design and implement company strategy. Mr. Rodio received a Bachelor of Science from Rider University and a Master of Business Administration from Monmouth University.
Marlon Goldstein — Director Nominee
Mr. Goldstein is a licensed attorney with nearly 20 years of experience in the gaming space. He joined The Stars Group (Nasdaq: TSG)(TSX: TSGI) in January 2014 as its Executive Vice-President, Chief Legal Officer and Secretary until his retirement from the company in July 2020 following the merger of TSG with Flutter Entertainment, PLC (LSE: FLTR). Mr. Goldstein also previously served as the Executive Vice-President, Corporate Development and General Counsel of TSG. Mr. Goldstein was also the senior TSG executive based in the United States and was one of the primary architects of TSG’s strategic vision for its U.S.-facing business. During his tenure, TSG grew from an approximately $500 million market-cap company to an approximately $7 billion market-cap company through a combination of organic growth and strategic mergers and acquisitions. Mr. Goldstein participated in numerous M&A transactions and capital markets offerings at TSG, including several transformational transactions in the digital gaming industry. Additionally, Mr. Goldstein was the founder and co-chair of the firm’s Gaming Practice, a multi-disciplinary team of attorneys representing owners, operators and developers of gaming facilities, manufacturers and suppliers of gaming devices, investment banks and lenders in financing transactions, and Indian tribes in the development and financing of gaming facilities.
Mr. Goldstein brings experience and insight that we believe will be valuable to a potential initial business combination target business. Sean Ryan — Director Nominee
Mr. Ryan is a digital media and technology operator with extensive global experience in online payments, e-commerce, marketplaces, mobile ad networks, digital games, enterprise collaboration platforms, blockchain, real money gaming and online music. Since 2014, Mr. Ryan has been serving as Vice President of Business Platform Partnerships at Facebook, Inc. (“Facebook”) (Nasdaq: FB), where he leads a more than 500 person global organization that manages the Payments, Commerce, Novi/Blockhain, Workplace and Audience Network businesses. Prior to his current role, Mr. Ryan was hired in 2011 as the Director of Games Partnerships to lead and grow the global Games business at Facebook. While the Director of Games Partnerships, Mr. Ryan focused on re-shaping Facebook’s games and monetization strategies to derive more value for Facebook, its users and its partners, including the addition of a Real Money Gaming offering in regulated markets. Mr. Ryan’s team helped accelerate a major trend in engagement through cross-platform games and therefore the opportunity to increase users through establishing games on multiple platforms. Prior to joining Facebook, Mr. Ryan created the new social and mobile games division at News Corp, an American multinational mass media corporation controlled by Rupert Murdoch. While at News Corp, Mr. Ryan led the acquisition of Making Fun, a San Francisco social-game start-up, that created News Corp’s games publishing division.
Before joining News Corp., Mr. Ryan founded multiple digital businesses such as Twofish, Meez, Open Wager and SingShot Media. Mr. Ryan co-founded Twofish in 2009, a virtual goods and services platform that provided developers with data analytics and insights for individual application’s digital economies. Twofish was later sold to online payments provider Live Gamer, where Mr. Ryan served on the board of directors. From 2005 to 2008, Mr. Ryan founded and led Meez.com, a social entertainment service combining avatars, web games and virtual worlds. The white label social casino gaming company Open Wager was spun out of Meez and was later sold to VGW Holdings, Mr. Ryan also co-founded SingShot Media, an online karaoke community, which was sold to Electronic Arts (Nasdaq: EA) and merged into its Sims division.

Mr. Roche has more than 40 years of experience in the gaming industry as a regulator, advisor and independent auditor. Mr. Roche joined Ernst & Young (“EY”) as a partner in 2003 and opened its Las Vegas office. He was subsequently appointed as the Office Managing Partner and Global Gaming Industry Market Leader. In 2016, Mr. Roche relocated to the EY Hong Kong office to supervise the expansion of the EY Global Gaming Industry practice in the Asia Pacific region. Mr. Roche has been integral to numerous transactions that have shaped the current gaming landscape, including:
• Wynn Resorts (Nasdaq: WYNN) initial public offering: Mr. Roche was the lead partner on Wynn Resort’s initial public offering, which raised $450 million in 2002.
• Harrah’s Entertainment/Apollo Management Group & Texas Pacific Group: Mr. Roche headed the regulatory advisory services on the buyout of Harrah’s Entertainment, the world’s largest casino company at the time, for $17.1 billion.
• Dubai World/MGM Resorts: Mr. Roche headed the regulatory and due diligence advisory services to Dubai World in its approximately $5.1 billion investment in MGM. Dubai World bought 28.4 million MGM shares, or 9.5 percent of the casino operator, for $2.4 billion. It then invested $2.7 billion to acquire a 50% stake in MGM’s CityCenter Project, a $7.4 billion 76-acre Las Vegas development of hotels, condos and retail outlets.
• MGM Growth Properties (NYSE: MGP) initial public offering: Mr. Roche provided tax and structural transaction services to MGM Resorts in the creation of MGM Growth Properties, a publicly traded REIT engaged in the acquisition, ownership and leasing of large-scale destination entertainment and leisure resorts. MGM Growth Properties raised $1.05 billion in its 2016 initial public offering.
Mr. Roche also directed EY advisory services to boards and management teams for profit improvement and technology related initiatives. In addition, Mr. Roche provided advisory support to the American Gaming Association on several research projects, including those specifically related to sports betting, the revocation of The Professional and Amateur Sports Protection Act of 1992 (PASPA) and anti-money laundering best practices in the gaming industry. Equally, he has assisted government agencies in numerous international locations with enhancing their regulatory approach to governing the industry especially in the online gambling sector.
Prior to joining Ernst & Young, Mr. Roche served as Deloitte’s National Gaming Industry Leader and as the co-head of Andersen’s Gaming Industry Practice in Las Vegas. In 1989, Mr. Roche was appointed by then Governor of the State of Nevada, Robert Miller, to serve as one of three members of the Nevada State Gaming Control Board for a four-year term, where he was directly responsible for the Audit and New Games Lab Divisions. As a board member, he spent a substantial amount of time assisting global jurisdiction regulators enact gaming legislation in the design of their regulatory structure. During his career, Roche has been involved in numerous public and private offerings of equity and debt securities. His background includes providing casino regulatory consulting services to casino licensees and to federal and state agencies including the National Indian Gaming Commission and the Nevada State Gaming Control Board, and industry associations such as the Nevada Resort Association and the American Gaming Association.
We believe Mr. Roche’s highly regarded reputation as a gaming auditor and advisor in the gaming industry will be valuable for us and a potential business combination target. Mr. Roche is a member of the American Institute of Certified Public Accountants and is licensed by the Nevada State Board of Accountancy and Mississippi State Board of Public Accountancy. He received his Bachelor of Science degree in Accounting from the University of Southern California.

After 22+ years of attendance, I have watched this festival go from what was described by Wired Magazine in 1997 as, "what the internet would be like if it was happening in reality" to 2020 where, "What? In reality, this festival is happening on the internet" ?!? What a serious head fuck . . .
So strap in or strap on and get ready for disappointment . . . like virtually everything in this virtual world right now.

PREDICTIONS
The Virtual Burn is going the be everything you think it could be . . . an underwhelming and depressing reminder that you are not going the real Burning Man this year.
While it is still better than nothing, nothing is an extremely low bar. Get ready for a clusterfuck of 8 separately-produced interpretive video game dreamscapes, made by skilled teams of programmers eager to prove that their world-building technology will be able to make future financial investors a shitload of money.
Burning Man 2021 is a 50/50 chance at best. 2022 is not looking that great either. Between The Org burning cash on side projects, the FEDs wanting to crack down hard and the Bureau of Land Management clearly pretty fucking stoked that they did not have to deal with the whole shitshow this year, it's going to be an uphill battle for the festival to return.
Huge changes will need to be made.
Those few gluttons for punishment who do decide to go to the playa this week will be treated to Burning Man without the Burning Man Experience.
It will take all the hard work, organization and preparation for survival in the middle of a harsh desert environment for a week of Burning Man . . . just without the Burning Man.
If there is one silver lining of the event not happening this year, it's the fact that I don't have to pack up my dust covered Burning Man bullshit from last year, drive 19 hours, then have to smuggle drugs inside my ass to make it past the BLM rangers just go camping in one of the most fucking miserable and inhospitable places on earth.
Without Shirtcockers, Megaphones and Massive Thumping Soundsystems, it's just a bogus camping trip in bad weather with a shitload of cops.
This year we will NOT be seeing the usual post-Burn MASSSIVE FLOOD of social media posts from Burners who lost their nice $60 water bottle/container somewhere on the playa, often accompanied by a story of why this particular water container was of importance because it has a strap on it, followed by a brief description of unique camps stickers on it and a photo of said missing water bottle/container. Without handheld amplified audio devices and wide-open spaces, they become no different than Internet Trolls.
How will Hippies on a Vision Quest be able find their spirit animal online? Without a guided shamanic ritual and Temple to burn, they become no different than someone playing Animal Crossing.
If there is no moop or trash to clean up in a virtual Burning Man how can Moop-shamers be able to prove to campmates and others that they are better at "doing Burning Man " than everyone else? In a virtual world they become no different than a Sarah McLaughlin Green Peace commercial.
How will Dooshbonnets and Dooshbags be able to gain followers on Instagram without the giant Robot Heart to climb?
How can they show the world that they not only have braved the pool of Piranhas chomping for position for line, negotiated past the all-seeing and all-knowing doorgirl with a clipboard, proving that they have climbed both the social and physical ladder to reach the top of the Robot Heart, so that they may look down upon the lowly dancefloor with both spite and pity for the unwashed masses who where not able achieve such greatness.

Although each Virtual World must have been an amazing feat of programming in its scope and size, it kinda feels like a huge project that was done in a short amount of time. None of the Eight Worlds, in any way, reflect the typical Burning Man experience.
However, there are a few non-official super realistic Burning Man simulators out there.
By far the most realistic experience has to be the "Getting Out More This Year" Simulator.
The player is welcomed to a rich and tangible 3D World of Chris's DopeAss 70s RV, which is camped way out on 4:30 and H, where your avatar can spend all day and all night doing fun things like Ketamine, or other colorful interactive game play such as snorting Ketamine, and even interact with the virtual Chris’s chat box and watch his avatar do Ketamine.
Other game play options include doing Ketamine, talking about doing Ketamine and also doing Ketamine.
The more days and nights spent doing Ketamine, the higher the score! If you want to experience what a typical Burner really does the whole week, than this one is for you!!
Then we have: "Let's Go Party" . . . the online multi-player game where the objective is to get your group of more than 6 Burners to try and leave camp, and all go out to party together.
I did not have much fun playing. I was never able to leave the front of camp. 14 hours of game play later, Brenda still needs to go back for chapstick and Ricky can’t find his bag of blow. Then once Brenda arrives ready, Kaleporia is cold and needs a scarf. Darkwad David is going back to get some blinky lights for the 3rd time. Now Timmy can't find his cigarettes . . . Fuck.
“ManBun Boyfriend”. In this first person POV game, you (the ManBun) has little to no control within the game, with only a single "Ok, Sure" button to navigate within the world. The Temple:
In the early days of the David Best Temples, they were constructed from the leftover hollows of wooden dinosaur jigsaw puzzle pieces.

Last year’s Temple was overdesigned, structurally unsound, and made from rare rustic-oak hardwood and redwood trees imported from China.

It's already common practice for larger theme camps to rent dumpsters that are emptied at the end of the week!! It's been going on for YEARS! So what?
Theme Camps will now have to pay a dumpster fee and there will be strict rules around any public dumpsters. Believe me The Org will provide the minimum amount possible to accommodate the BLM. It won't be nearly enough dumpsters for everyone to just toss all their trash, recycling and extra bikes into.

I want to write my own fiction stories one day; I have had a book or two swimming around in my head so I will put the computer to good use and get that typed out one of these days. In this instance I chose my 5 stories and even though one is a marketing inquiry I had fun writing it, so here are my things and some background some of them.
Resume: It is a basic one because my photo ones were not particularly good, and this is an honest resume besides the ones I made for class and I did fudge on those.
Cover letter: I made up the cover letter though there is a penguin Books but it is always fun to use your imagination!
Hike with Drew: I got the concept from a Writer’s Digest and entered it into a contes I never got a response but good practice.
Short Story Vegas: Was one I did for another class but in here I changed it and the story was much better the second time.
Marketing Flyer: This was fun to do those are stock photos of the dogs and squeaky toys, but I like Pit Bulls and dog toys are fun as well.
Scott part 1-This is a story I am working on with another writer, warning its very sexy and some naughty words are in there as well.

It had been a long cold winter Drew and I could not get out for a morning hike till today. Being 75 degrees, we did not have to wear many layers. He is an extremely sweet inquisitive boy who always asks a lot of questions. Why does moss grow on the north side of trees” he asks? Its times like this when it would be nice to have my husband here, but he is overseas where the work is. “well, it’s not just the north side it’s on the shadier side because that is where the moisture is.”
On we went looking at snails on the ground watching the deer pass by along a ridge. Being quiet as to not startle them. “Mom he whispered it’s a bunny den they are coming out for food, he leaves a few carrot and lettuce scraps from last night’s dinner. I walked down the path and spotted some glorious Blue Jays and a Downey Woodpecker. “Listen Drew the woodpecker is getting the bugs out of the trees.” My sweet Drew was staring at the Bunnies, they are cute and fluffy after all. We followed our path down further after the bunnies went back to the den.
The skies were getting cloudy, so I hoped the rain was not going to come back. Though the weather report said there was a chance. My little explorer with his school uniform on was undeterred, I wish I could wear shorts on a 75 day and not be cold, it is always nice to be young. Walking along our path we spot some squirrels running in circles around the tree. “Why do the chase each other like that” Drew asks. “Maybe it’s a game for them like ring around the Rosie.”
On we trek to our favorite stream where the deer family are taking their drinks. I tell Drew we cannot skip stones right now we do not want to scare them. We look through the grass for more of his favorite bugs, saw some worms just below the dirt by a tree. Looking up we see a big spider web being made between two branches. The crows were making their calls in the distance. We are finally able to skip our stones in the stream. He gets some great skips going, and we collect some new rocks for our little garden back home.
Walking past the stream we climb up the embankment and up along the ridge where we see a Fox off in the distance. He or she walks the opposite direction we are going so it is a relief we can continue to the clearing. Where there are more bugs, rocks, and Bunnies. We pass the Deer family as they run up the hill to were, they mostly frolic or maybe they live up there. We stop for a snack of Apples, Almonds, and some cheese sticks. When we were finished Drew put a couple of slices in his pocket to feed the Bunnies, I am sure.
“Mommy we’re getting to the clearing now we can see the Bunnies and the last time Daddy, and I were here I got some neat rocks too.” Drew told ne enthusiastically, I did love his passion for nature, though again my husband is much better at the nature stuff. I am a pastry Chef ask me about desserts and I am your woman, about why moss grows on trees and hello Google. Since Dad is unavailable, I step in and let him explore and see the world outside of the house and off the screen.
It is just another half mile and it is on to the clearing. He starts to pull me hand a little harder I know he is excited. We pass under the tree I glance up and see the Fox again. Then we stop and see “Daddy home……

One Week In Las Vegas
The countdown started Friday at 2pm I got the week off from this thing I call a job (just over broke). The car was packed, it was time to hit the road. The traffic was average and climbing the Cajon Pass was not that bad. I stopped in Baker to have my favorite meal at Bob’s Big Boy, the chili spaghetti, no onions. After making my way back on the highway the traffic picked up going out of Baker, through to Primm and Stateline. I had to stop for gas at Whiskey Pete’s, so I also went in and got some snack goodies. My favorite trail mix and some cheese potato chips because vending machines are too expensive. The road was beckoning so off I went, traveling through Jean is always nice, not much to see. A prison, a few remaining casinos, some outbuildings, and a truck stop. There slogan was always fun 40 smiles closer than Vegas. You can get bored so be sure to pack some music you can have your own car concert. “I’ll face it with a grin I’m never giving in, on with the show” (Show Must Go on by Queen)
Finally, the Vegas skyline is in sight, the lights are not on yet, but they will be needing to navigate around the strip. I do say a few words the terrible drivers. This vacation was so needed my job is crazy, my kids are older now and do not need mom around anymore. Off they went to grandma’s house and I booked the week at the Delano, it is attached to the Mandalay bay so perfect access to all the fun of the strip, and just enough luxury to not look cheap. Getting the valet to take the car I check into my genuinely nice room I have a great view of the Luxor light (that comes off the top of the hotel) and the Excalibur. Now off to indulge in that genuinely nice bathtub and get some overdue reading done. My bathroom with a view has the Luxor light and that is the brightest light on the Vegas strip it comes right out of the top of the Pyramid shaped hotel. A brightness of 42.3 billion candela, you could read a paper from 10 miles straight up if you wanted to.
Once I was well soaked and finished with my chapters it was time to find something to eat besides my snack foods. After cruising the room service options, I settled on some Mexican food of chorizo and eggs with nice corn tortillas. That hit the spot so with the extra energy it was time to get out for a stroll of the property. The indoor pool is nice but small and I want to soak up the sunshine and get some exercise so I shall hit the outdoor pool tomorrow. Back in the lobby I grab those ads for things to do in the city so I can plan out the rest of my trip. There are thousands of things to do in Vegas. The midnight hour rolled around, and Zac had an early morning, so we said goodnight, but he was staying one floor above me, so we agreed to go to the diner in the lobby for breakfast or brunch. The conversation was effortless the attraction was deep. We made plans to see each other again after the food contest he was judging was over. Saying goodbye was a bit hard but the hand holding was sweet and made me feel like a schoolgirl again. After saying goodbye and I did watch him walk into the convention hall I went back to my room to plan out the rest of my day. I chose a tour of the Mob Museum, they say that Vegas was built with Mob money, but it was a Mormon founded town that later Hollywood discovered. Then many people in Hollywood who were well connected (such as East Coast mobsters) financed Bugsy Segal to build the Flamingo Hotel. As I was putting my shoes on, I got a knock on the room door and as I opened it, I got some flowers (pink roses) and an all-access pass to the food and wine festival courtesy of Zac. Let us just say the Mob Museum can wait for later I got to go to a food and wine festival and spend the rest of the week with Zac. “hi Zac thanks for the flowers it was sweet of you to remember.” He said, “It’s always right to remember a ladies flower preference because that’s the right thing to do.” Smiling the rest of the day I meet other travel channel celebrities and got to taste some great foods and many different wines. The food and wine offerings at the hotels and restaurants are varied, the Las Vegas area have become very international, so the varieties are endless.
The week went by in a blur of food, wine, conversation, and some sweet dates. I never thought I would get over the break-up that happened the week before. Getting a private Vegas tour was something completely special. I did get to see the Mob Museum, Mandalay Bay Fine Art Museum, seven magic mountains, Pinball Hall of fame and a private dinner at the food and wine festival. My days in Vegas were down to one. We had reservations at Rivera right here at the Delano the view is amazing, the food is impressive with Italian and French offers. “I have had a wonderful time this week Zac thank you for mending my broken heart.” He looked at me for a minute and said, “it’s been a pleasure to get to know you and I would not mind visiting your hometown, you always have a reason to come back to Las Vegas. The next food and wine festival is around Christmas, this one will include chocolate.” Hitting the 15 early the next morning I have visions of Christmas, a pass to the food and wine festival, also a brand-new relationship to take back home with me.

When your reader gets into the story you want them to feel like they are there with you, going to the food and wine festival, on that hike through the seven-mountains or touring the mob museum. The details are the thing to see and make sure to watch out for punctuation and common language. An average short story is within 6,00 words or 24 pages. If you wanted too you could go short-short story and that is between 500 and 2,00 words. That comes out to be 6 pages (Minot, Steven Ch. 7 pg. 41), talk about short stories. The story is all your length and style matter as much as how you want it to come into focus.

Scott’s Story Part 1
I am Scott Thorn, and I am going back to WDU for the first time in 15 years, I went here for a year but after I came out as gay there really were no gay dudes. I am all men but yeah lesbians were all around some BI guys but no real gay dudes. I went back to the mainland and attended Preston University I majored in administration and minored in Literature. I did at one point in my life have a girlfriend and wanted to marry her, but I could not quash the gay lifestyle. That part of my life is over and now the old school offered me a counseling job, have not done this in a while. I get to help students toward there after college career.

The floors will need some polish and the deck needs to be stained, this is a duplex, so I hope the neighbors are quiet. It is furnished and done nicely so I cannot complain too much, but back on the bike to see the Dean.
I get my bike set with the kill switch and walk up the way to the Admin building, I am pretty much the only one dressed. I am wearing my good black jeans and my dress shirt, in my favorite color Maroon. After he left, I had to get my rise to settle then I continued filing and looking through some files. Clarissa Love that was a name that got around even all the way to Preston. I think she does the Jax in the bedroom or something like that. I started looking around and thought I need some life in this office so I asked Miss Grant about decorating and she said I could do what I wanted but no painting, so I went to town and checked out a flea market. I found some pictures of the beaches of Canada, some old homes in the area and a few movie posters from Rocky horror Picture Show (it is my favorite). The flea market said they will deliver to the school tomorrow so I told them I will be there at 9am.
Now with my day done I get to the store to buy some groceries and realize this place uses sextons and I was down to my last few, so now I will need to exchange but thankfully a bank is nearby so I can get some of my mainland money exchanged. I pull up to my new pad off load my few groceries and notice some other tenant left beer in the fridge, talk about luck. I got the beer went to the deck and watched the sunset over the sky. For those that do not know, the Westgate competition is a pretty popular pick'em competition offered by the Westgate Casino Hotel in Las Vegas. Each week, ~1,200 bettors make 5 picks against the spread. These picks are posted to the competition website on Saturdays, allowing for nerds like myself to identify whether or not bettors have any true ability to pick NFL games against the spread. Since the buy-in to the competition is a relatively sizeable $1,500 and the jackpots are in the millions, it's a good opportunity to access a large collection of picks made by arguably serious gamblers. Further, the standings for the competition are updated each week, so you can compare the best bettors against the worst regarding their performance the following week. This is exactly what I have been doing for the past 3 weeks.
Each week since Week-2, I have been pulling data from this website on Saturdays to track their performance the following Sunday. I know that this data has been pulled in the past by various sources who have shown that bettors at large mostly suck at picking against the spread. However, to my knowledge, these are usually summarized in aggregate - that is, the performance of all 1,200 bettors are pooled together. What I want to do is determine if bettors who have performed at a high level (e.g., 80% accuracy or better) can outperform bettors who have performed at a low level (e.g., 20% accuracy or lower) the following week.

Comparison Groups: "Leaders": Those in the top-50ish of the standings (YTD pick accuracy above 80%) "Losers": Those in the bottom-50ish of the standings (YTD pick accuracy under 20%)
Metrics: Consensus Performance: A consensus pick refers to each game in which the majority of the comparison group sided with the pick. This means, the best a group can perform for the week is 16-0. Pick Performance: This is examining the number of bettors on the right side of the pick within each group. This means, the best a group can perform for the week is ~250-0.
WEEKLY FINDINGS: Week-2: The leaders beat the losers in consensus picks (50% to 43%) and overall picks (53% to 45%) Week-3: The losers beat the leaders in consensus picks (50% to 33% and overall picks (47% to 39%) Week-4: The losers beat the leaders in consensus picks (46% to 41%) and overall picks (48% to 45%)
YTD FINDINGS: The losers have beaten the leaders in consensus picks (46% to 41% and overall picks (48% to 45%)
CONCLUSION: I think this is pretty compelling evidence that most of us have no ability to beat chance levels when picking against NFL spreads. So far, I have looked at 1,400 picks made by serious gamblers with significant money on the line, and those who had performed at very high levels (80%+ hit-rate) failed to (a) beat a coin-toss strategy or (b) beat a group of terrible bettors.
It is still early in the season. Perhaps the cream will rise to the top at some point. But I have a hunch that even going into Week-17, a bettor who has hit at a remarkable rate cannot be reliably counted on to hit above chance levels the following week. We'll see.

This is an example of fundamental DD that takes place at ‘smart’ money institutions based on my professional experience in IBD, Private Equity & most recently at a HF (mods can message me for proof). Other catalysts include increasing adaptation of sports betting in more states. States that have both legal sports betting + online sports betting permitted: NV, NJ, WV, PA, IA. Sports betting permitted but no online: DE, MS, RI, MO, AR. Prior to COVID there was ongoing discussions across many States, especially ones with growing deficits to explore how permitting sports betting could create a fresh avenue of tax dollars. Post COVID there is an expectation that these discussions will be given extra focus as many States will be hungry for incremental tax dollars. Important to note that currently 43/50 States allow DFS, but given the small share DFS has on total Gaming Revenues, it increasingly looks like DKNG is banking on traditional sports betting for a variety of reasons, more later. There are entire articles on Google arguing this catalyst so I’ll end this here.
Digging Deeper
DKNG’s main offerings are Daily Fantasy Sports (“DFS”) products & traditional sports book products to its clients. Long story short, a metric to look for in my opinion (that is curiously not reported by management or remarked on) is the hold % in traditional gaming sector parlance or the ‘rake’ & compare it to the ‘traditional’ gaming products like sports betting & Blackjack.
For DFS: DKNG takes ~15% of the prize pool (note: used to be ~6-11% [2]). Curiously, their main competitor FanDuel also has moved up to a ~15% rake recently. Google searches show the smaller competitors have a rake in the ~13% range.
This ‘rake’ has grown ~2x in 6 years, but it has been a delicate move on behalf of management. Why? B/c the more ‘sophisticated’ DFS players (equal to autistic day traders on Robinhood) have noted this increase & based on some Googling, some have moved down market to the smaller players. As a side note, many live casino games have their rules altered to grow the Hold %. For example, Blackjack games with 6:5 payouts on 21 have materially higher Hold % than the traditional BJ rules that pay out 3:2. Given the findings so far, DKNG may not have much room to materially increase its hold % in DFS games in the near-term from current of 15%. More on this later.
Now why the fuck is this important? This is important b/c the typical sports book (ex-Parlays) have a ~5% hold %/rake. Parlays have up to a ~30% hold (which is why it’s commonly known as the sucker’s bet), & just for reference, the average Blackjack table clocks in 14.5%. What this means: Every dollar put into these games, the “House” or DKNG, will take 15% of your money for DFS games, for sports bets they will be pocketing ~5%, up to ~30% if you’re into parlays, & we’ll just use the standard 14.5% BJ hold for the DraftKings Casino platform.
So why the acquisition of SBTech & a foray into the traditional sports gambling market? As you can see previously, the illegal sports betting market is >30x the size of the current daily fantasy sports market. So it’s clear that the DFS providers including DKNG are foraying into the space to capture this user base & hopefully convert them into games that have a higher hold %, such as DFS/DKNG Casino.
As of May 2020, DKNG has achieved a 30% penetration rate on its ~4mm ‘monetized’ DFS clientele to its Online Sports Book (OSB), from the OSB+DFS clientele, DKNG has converted 50% into its DraftKings Casino platform.
Including non-monetized users, user base totals at 12mm. Based on these unit economics: every 1mm of additional users -> 333k monetized users for DFS -> 100k users for OSB -> 50k users for DraftKings Casino.
Some Numbers – Italicized/Bolded the important

• In total, DKNG has DFS paying clientele of ~4mm, the metric management focuses on is “Monthly Unique Payers (MUP)” which spans across DFS & online sports betting***. As of Q1’20 they reported 720,000*** MUPs, representing +16% YoY growth [3]
  • Average revenue per monthly user (ARPU) of ~$41, +11% YoY
    • Based on previous observation of Hold %, looks like ARPU growth will be limited
  • Since ’17, MUP has grown at a ~11% CAGR & ARPU has grown at a ~19% CAGR
  • As a side note: the ~4mm monetized user base was acquired at ~$122/user over 3 years. Total users cost them $41/user over the last 3 years [3].
• They are currently EBITDA negative & Wall St expects them to be positive by 2023
  • I took a dive into the math driving this, here is a summary:
    • Based on their current cost structure they will need to have ~1.7mm MUPs at an ARPU of ~$46 to break-even. This implies total monetized users of ~10mm from ~4mm currently

Numbers that represent Risks to Long Thesis

• DKNG’s user base of ~12mm is on the low end of the sector vs. its ‘brick & mortar’ competitor's user bases (online betting platforms with physical casino presence)
  • CZR with 55mm, MGM with 33mm, ERI with 10mm (in pending merger with CZR, could have a lot of overlap), FanDuel with 8.5mm
  • Is there a concern for increased marketing costs to increase user base? Let’s look at a case study of NJ, the first state to open both mobile & retail sports betting:
    • FanDuel + DraftKings have held 80%+ of the OSB market share since 12/2018 which is estimated to be driven by the conversion opportunity from DFS that is unique to both companies [4]
    • On the flipside, a case study to examine going forward is how DKNG can get OSB customers in a State that does not allow DFS. Nevada. Home to Las fucking Vegas. Prior to NV pushing FanDuel/DKNG out (highly likely due to casino lobbying), NV was a top-15 State in terms of revenue for them. NV is home to the fattest sports book in the US, & recently the gaming commission started to parse the data on sportsbook wagers done online vs. in-person, & it came out to roughly 50/50. It will be interesting to see how they try to capture market share in a state with no DFS
• Long-term EBITDA margin target of 35% requires huge growth in MUPs
  • Based on their estimated '22 cost structure: Holding ARPU of ~$46, MUPs will have to be ~5.2mm, a 7x increase from current to achieve a EBITDA margin of 35%
    • A focus on future earnings will be management's ability to shift to a more fixed-cost structure which would effectively lower the MUP requirement for profitability

Things to look for when going Long
- Progress of additional States legalizing sports betting – specifically, States with DFS already legalized
- Cost structure evolving to a more fixed mix vs. the mostly variable mix currently as this will be the forward figure that determines profitability
- Increasing User Base (Curr.: 12mm) -> Monetized Base (Curr.: 4mm) -> MUP (1Q’20: 0.7mm)

• Management seems to be focused more on the first step, but one thing to note is that the 33% monetization rate is very high when compared to something like League of Legends which isn’t entirely comparable but in 2013 had a ~4% monetization rate [5]. This, combined with the below implies that this conversion rate may be the ceiling for now
• As a side note, ~6 years ago FanDuel had ~300k monetized on an ~800k user base for a monetization rate of ~37% [6]

Share Price Target
Given the cost structure of the company, I’m going to base the price targets around Enterprise Value / Revenues (driven by MUPs & ARPUs).

• MUP sensitivity of 5mm - 6mm
• ARPU sensitivity from $41 - $47 for an average of $44, just a $3 increase from current of $41.
• Share Price targets based on 2.0x - 4.5x EV / Sales.
  • Note: Flutter Entertainment (FanDuel ParentCo) trades at ~3.6x EV/Sales

Bear Case MUP: 5mm -> $20.32 - $45.73
Base Case MUP: 5.5mm -> $22.27 - $50.10
Bull Case MUP: 6mm -> $24.21 - $54.47
These MUPs imply a monetized customer base of 28mm – 33mm. At the high-end, this implies that DKNG monetized customer base will equal MGM’s current total user base.
At yesterday’s close of $43.70, DKNG is trading at 3.5x – 4.5x forward Revenues on an expected >5,000 MUPs.
Share Price drivers / considerations:
- Continued multiple expansion

• Consideration: A 1x premium to FanDuel's 3.6x, implies a ~15% upside to current. They're bigger than FanDuel, do they deserve the premium?

- MUP Growth exceeding beyond targets

• Consideration: Stock currently implies that they should on average be growing at 40% QoQ – during 2018 they had on average +30% growth QoQ in MUPs, marking their best year

Management Team
Jason Robins, 39 – Co-Founder & CEO. Duke BA, started DraftKings from day 1 in 2011. The 2 other buddies he started the Company with are still at DKNG. Dude navigated the Company through the scandal that rocked them in ’15 & ’16, and was the trailblazer in getting DFS labeled as a non-gambling product that enabled it to open in States without a gaming designation. This shit is the stuff that gets people in history books. His accomplishments make him seem like a very competent guy. Has 3 kids now, and only ~3% economic ownership in DKNG but has 90% of the voting power through his Class B share ownership. Also he actively participates in venture investments, sitting on 10 boards.
His comp plan performance bonus target is pretty murky, but main drivers are EPS growth, revenue growth, then a bunch of margin & return metrics, along with share price returns. Overall, very open-ended & it’s safe to say as long as shit doesn’t hit the fan, he will be eligible for his max payouts year over year. I’m assuming the lawyers tried to encompass everything possible for maximum flexibility to justify him earning his max comp as long as DKNG is still around.
Since he’s got voting control of 90%, I’ll end the specific-person overview here, but want to note that they have a very bloated C-suite. 12 folks at DKNG, 8 folks at SBTech, all with C-suite designations. Whereas their main competitor FanDuel, has 3 guys with a C-suite designations & 1 EVP, but is a sub under a larger ParentCo that has its own management team of ~5 guys.
Looking through glassdoor you can see the biggest complaint among employees giving bad reviews is based on management, all of the specific issues they point out IMO are a result of a top-heavy company. Seems like a good starting point to optimize their cost structure, but given Robins' history of sticking this entire thing through with his co-founders since '11 stuff like this doesn't seem to be a part of his playbook. They’re a public company now though, so it’s going to be interesting to see going forward.
TL;DR:
If I were to initiate a position in DKNG, the stock would have to fall to the $35-$37 range for me to be a buyer of the stock, and based on this rough intro analysis I'll be considering Put options if it breaches $50. I would not touch Calls at this level.
